1. Agreement to Terms
These Terms of Service ("Terms") constitute a binding agreement between you ("Client" or "User") and ConvertEdge Technologies Pvt. Ltd. ("ConvertEdge"). These Terms govern your use of our SaaS Productsand our Professional Services.
2. Definitions
- "SaaS Products" refers to any proprietary cloud-based software, applications, or platforms provided by ConvertEdge on a subscription basis.
- "Professional Services" refers to custom software development, consulting, IT staff augmentation, or design work performed under a Statement of Work (SOW) or Master Service Agreement (MSA).
3. Intellectual Property (IP) Rights
- SaaS Products: ConvertEdge retains all ownership, title, and interest in its SaaS Products, including source code, APIs, workflows, and documentation. The Client is granted a limited, non-exclusive, non-transferable license to use the Product during the subscription term.
- Professional Services: Unless otherwise specified in a separate MSA, ownership of custom-developed code typically transfers to the Client only upon full payment of all applicable fees. ConvertEdge retains ownership of its pre-existing background technology, frameworks, and reusable libraries used to deliver the solution.
4. Fees and Payment
- SaaS Subscriptions: Fees are billed in advance (monthly or annually) as per the selected plan. Failure to pay may result in immediate suspension of access to the Platform.
- Professional Services: Invoiced according to the milestones or time-and-material terms defined in your SOW/MSA. Payments are generally due within the timeframe specified on the invoice.
- Taxes: All fees are exclusive of applicable taxes (such as GST), which will be charged additionally.
5. User Responsibilities
- You agree not to reverse engineer, decompile, or attempt to extract source code from our SaaS Products.
- You are responsible for all activity that occurs under your account credentials.
- You agree not to use our Services to transmit any malware, viruses, or illegal content.
6. Communication Terms
By using our Services, you consent to receive communications from us electronically:
- Operational Alerts: Critical updates regarding security, downtime, or billing (Opt-out not available).
- Marketing: Newsletters, feature announcements, and offers. You may opt out of these at any time via the unsubscribe link.
7. Limitation of Liability
To the fullest extent permitted by law, ConvertEdge shall not be liable for indirect, incidental, special, or consequential damages (including lost profits, loss of data, or business interruption) arising from the use of our SaaS Products or Professional Services. Our total liability is strictly limited to the amount paid by you for the specific service in the three (3) months preceding the claim.
8. Termination
- SaaS: You may cancel your subscription effective at the end of your current billing cycle. No refunds are provided for partial months
- Professional Services: Termination is governed by the notice period and terms specified in your specific MSA or SOW.
9. Governing Law
These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.
